Mergers occur when one company assumes all the assets as well as all the liabilities of another. The purchasing company retains its individuality, while the purchased corporation ceases to exist. Generally a merger must be approved via a majority vote by the shareholders. Furthermore a merger is considered one type of acquisition. A company can acquire another company in numerous different ways, which include buying some or all of the firm�s assets, or buying the companies outstanding shares of stock. In most cases, mergers and/or any other types of acquisitions are executed in the hopes of grasping some sort of economic gain. For such a transaction to be warranted, the two firms involved must be worth more together than they were apart. The potential advantages of mergers and acquisitions include achieving economies of scale, combining harmonizing resources, garnering tax advantages, and reducing inefficiencies.
