A number of major corporate accounting scandals and business failures including Enron and WorldCom in 2001 and early 2002 drew world concern about ethics of both professional accounting and corporations. People came to realize that the existing regulations cannot guarantee absence of misstatement in financial reports. In order to rebuild investors�" confidence, Congress passed the Sarbanes-Oxley Act of 2002(SOX), however, situation would not change radically unless both auditors and corporations improve ethics, take responsibilities to investors and keep strictly to this legislation. This report mainly discusses the needs for auditors to assess clients�" ethics and measures for corporations to improve ethics. After presenting my understanding of Roger D.
